Senior Corporate Lawyer - Law Firm

Key Responsibilities

  1. Team Leadership & Management
    • Build, guide and supervise the corporate practice group to deliver top-tier legal services, maintain quality standards, and meet strict deadlines.
  2. Entity Formation & Corporate Structuring
    • Oversee all phases of business incorporation and reorganization in Thailand, including registration, charter amendments, and statutory filings.
  3. Regulatory Licensing & Compliance
    • Manage applications for Foreign Business Licenses (FBL), Board of Investment (BOI) approvals, and other regulatory permits, ensuring full compliance with Thai laws.
  4. Legal Drafting & Review
    • Draft, review, and negotiate a broad range of corporate agreements, contracts, and ancillary documents in both Thai and English, ensuring accuracy and alignment with client objectives.
  5. Mergers & Acquisitions
    • Lead due-diligence exercises, analyze transaction documents, prepare comprehensive reports, and advise on deal structuring for M&A and investment projects.
  6. Stakeholder Engagement & Negotiation
    • Act as the principal legal interface with Thai government agencies and regulators, negotiating terms and securing approvals on behalf of clients.
  7. Strategic Advisory Services
    • Provide high-level counsel on investment incentives, corporate governance, and regulatory frameworks to optimize clients' business strategies.
  8. Mentorship & Professional Development
    • Train, mentor, and develop junior lawyers, fostering a culture of excellence and continuous learning.

Qualifications & Competencies

  • Bachelor's degree in law, admitted to practice in Thailand.
  • At least 10 years relevant experience in corporate law, with demonstrable expertise in cross-border transactions.
  • Native in Thai and fluent in English; strong command of Thai legal terminology.
  • Proven leadership and project management capabilities.
  • In-depth knowledge of Thai corporate, investment, and regulatory regimes, including BOI and FBL procedures.
  • Exceptional analytical, drafting, and negotiation skills.
